TERMS OF SERVICE
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Vauxmart Technologies ("Vauxmart", "we", "us", or "our"). By accessing or using our website (https://www.vauxmart.net), platform, APIs, or any related services (collectively, the "Services"), you confirm that you have read, fully understood, and agreed to comply with these Terms.
If you do not agree to these Terms, you must not access or use our Services.
2. Definitions
- →Platform: The Vauxmart commerce infrastructure platform, including all APIs, tools, dashboards, and services.
- →Services: All products, features, APIs, and services provided by Vauxmart.
- →Partner: Any merchant, logistics provider, or strategic partner who has entered into a partnership agreement with Vauxmart.
- →Content: All text, data, images, software, and other materials appearing through the Services.
3. Eligibility
By accessing our Services, you represent and warrant that:
- →You are at least 18 years of age or the legal age of majority in your jurisdiction
- →You have the legal authority to enter into these Terms on behalf of yourself or any organisation you represent
- →Your use of the Services does not violate any applicable law or regulation
- →All information you provide is accurate, current, and complete
4. Role of Vauxmart
Vauxmart provides commerce infrastructure software and services. We act as a technology and infrastructure provider. Partners and users are solely responsible for their own commerce operations, product listings, fulfilment obligations, and compliance with applicable laws.
Vauxmart does not own, sell, or take title to any products transacted through Partner operations built on our platform. Any commercial relationship between a merchant and their customers is solely between those parties.
5. Partner Obligations
Partners using the Vauxmart platform agree to:
- →Use the Services only for lawful purposes and in accordance with these Terms
- →Provide accurate and complete information in all integrations and filings
- →Maintain the confidentiality of API keys, credentials, and access tokens
- →Ensure their commerce operations comply with all applicable laws and regulations
- →Not sublicense, resell, or transfer access to the Services without prior written consent
- →Promptly notify Vauxmart of any unauthorised access or security breach
6. Prohibited Activities
You must not use our Services to:
- →Engage in any unlawful activity or facilitate illegal commerce
- →Transmit any malware, viruses, or other malicious code
- →Attempt to gain unauthorised access to our systems or networks
- →Reverse engineer, decompile, or disassemble any part of the Services
- →Scrape, mine, or extract data from our Services without authorisation
- →Interfere with the operation, integrity, or performance of the Services
- →Post or transmit misleading, fraudulent, or defamatory content
- →Violate the intellectual property rights of Vauxmart or any third party
7. Intellectual Property
Vauxmart owns all intellectual property rights in and to the Services, including the platform, software, documentation, logos, trademarks, and all associated content. Nothing in these Terms grants you any rights to use Vauxmart's intellectual property except as explicitly permitted.
You retain ownership of any content, data, or materials you provide through the Services. You grant Vauxmart a limited, non-exclusive licence to use such materials solely to provide and improve the Services.
8. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed in connection with the Services. This obligation does not apply to information that is publicly available, independently developed, or lawfully obtained from a third party.
9. Fees and Payment
Access to certain Services may be subject to fees as set out in your Partner agreement or pricing documentation. Vauxmart reserves the right to revise its pricing at any time with reasonable advance notice. Continued use of the Services following a price change constitutes acceptance of the new pricing.
10. Data and Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
11. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Vauxmart shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services.
Vauxmart's total aggregate liability for any claim shall not exceed the fees paid by you to Vauxmart in the twelve months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Vauxmart and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Services or violation of these Terms.
14. Termination
Vauxmart reserves the right to suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to Vauxmart, its partners, or third parties.
Provisions of these Terms that by their nature should survive termination shall remain in effect after termination.
15. Modifications to Terms
Vauxmart reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the date at the top of this page. Continued use of the Services following modifications constitutes acceptance of the revised Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of both:
- →England and Wales (United Kingdom): In respect of users, partners, and operations within the UK and the European Economic Area.
- →The Federal Republic of Nigeria: In respect of users, partners, and operations within Nigeria and the African continent.
Disputes shall first be referred to informal negotiation and, if unresolved within 30 days, to binding arbitration under the rules of the applicable jurisdiction.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
